Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the TaskSpend mobile applications and website (together, the "Service"), operated by Boyach LLC ("TaskSpend", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What TaskSpend is

TaskSpend is a project budgeting and expense-management service for small teams. It lets organizations set project budgets, record expenses, capture receipts (including AI-assisted reading of receipt details), request and grant spending approvals, manage team roles, and generate reports.

2. Accounts

• You must provide accurate information when creating an account, and keep your account secure. You are responsible for all activity under your account.
• You sign in with Sign in with Apple or Sign in with Google, these are the only sign-in methods. Your use of either provider is also subject to that provider's terms.

3. Acceptance

By creating an account, you accept these Terms and our Privacy Policy. We ask you to confirm this when you sign up.

4. Organizations, roles and your data

• Data you submit in an organization, projects, budgets, expenses, receipts, approvals, comments, belongs to that organization and is visible to its members according to their roles.
• Organization owners and managers control membership and roles. If you join an organization, its owner controls that organization's data, including after you leave it.
• Each organization's data is isolated from other organizations. Members of one organization cannot access another organization's data through the Service.

5. Your content

You retain ownership of the content you upload, including receipt images and notes. You grant us a limited license to host, store, process and display that content solely to operate and improve the Service. You are responsible for having the right to upload what you upload.

6. AI features

TaskSpend uses automated (AI) processing to read receipts, fill in expense details, summarize spending, and answer natural-language questions about your data through features including Ask TaskSpend. AI output can be wrong. Extracted amounts, dates, merchants, categories, AI-generated summaries, and Ask TaskSpend's answers are provided for convenience and must be reviewed before you rely on them. You, not TaskSpend, are responsible for checking amounts, categories, and approvals, and for the accuracy of records you save and decisions you make based on them. TaskSpend is not tax, accounting, legal, or financial advice.

7. Not financial or tax advice

The Service provides record-keeping and reporting tools. Nothing in the Service is accounting, tax, legal or investment advice. Consult a qualified professional for advice about your situation.

8. Acceptable use

You agree not to:

• use the Service for unlawful purposes, including recording fraudulent expenses;
• attempt to access another organization's or user's data;
• probe, disrupt, overload or interfere with the Service or its security features;
• reverse engineer, copy or resell the Service except as permitted by law;
• upload malicious code or content you have no right to share.

9. Service availability and changes

TaskSpend is an actively developed, early-stage service. It may change, be interrupted, or be discontinued; features may be added or removed; and we may adjust how the Service works, giving reasonable notice where a change materially affects you. We appreciate bug reports but make no promise that any particular issue will be fixed.

10. Fees

TaskSpend offers a free tier and an optional Premium subscription that unlocks additional capacity and features.

• Premium is an auto-renewable subscription sold through the Apple App Store. It renews automatically until cancelled, billed to your Apple Account. Apple bills you, not us, we never receive or store your payment card details.
• Your subscription renews automatically at the end of each period unless you cancel at least 24 hours before that period ends. You can view, change, or cancel it at any time in your Apple Account's subscription settings.
• A workspace's plan is chosen by its owner and determines the premium features available to everyone in that workspace.
• Prices and plan limits may change. We will give notice before a change affects a renewal. Refunds are handled by Apple under its own policies.

11. Privacy

We process your personal data to operate the Service, account details, organization content, and technical data needed to run and secure the platform. Receipt images and expense data are stored securely and are not sold to third parties. You can delete your account at any time from within the app (see Section 14). Our Privacy Policy explains what we collect and why in full. For other questions about your data, contact support@taskspend.com.

12. Intellectual property

The Service, including its software, design, logos and content (excluding your content), is owned by Boyach LLC and protected by intellectual-property laws. These Terms do not grant you any right to use the TaskSpend name or logos.

13. Copyright complaints (DMCA)

If you believe content on the Service infringes your copyright, send a notice to our designated agent at support@taskspend.com, or by mail:

Under 17 U.S.C. §512(c)(3), your notice must include: (1) a physical or electronic signature of the copyright owner or someone authorized to act for them; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and information reasonably sufficient to let us locate it; (4) your contact information (address, phone number, and email); (5) a statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law; and (6) a statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on their behalf.

If you believe content you posted was removed by mistake or misidentification, you may send us a counter-notice with a similar statement under penalty of perjury; we will follow the process the DMCA sets out for restoring it.

We terminate the accounts of users who are repeat infringers.

14. Termination

You may stop using the Service at any time, and you may delete your account from within the app using the Delete Account option in your profile settings. Deleting your account permanently removes your account and sign-in credentials.

Organization records survive account deletion. If you contributed to an organization's projects, the content you submitted, expenses, receipts and related project details, remains part of that organization's records after your account is deleted, as described in Section 4, because the organization needs complete records for its budgets, approvals and reports.

We may suspend or terminate access that violates these Terms, harms the Service or other users, or creates legal risk. Upon termination, provisions that by their nature should survive (including Sections 5, 7, 15 and 16) survive.

15. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that data will never be lost, keep your own copies of critical records.

16. Limitation of liability

To the maximum extent permitted by law, Boyach LLC will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Service. This excludes indirect, incidental, consequential damages and lost profits to the extent permitted by law. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the claim or USD $50. Some jurisdictions do not allow these limits; in that case they apply to the maximum extent permitted.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Service or by email before they take effect. Continued use of the Service after changes take effect constitutes acceptance.

18. Dispute resolution

Informal resolution first. Before filing a claim, contact us at support@taskspend.com and give us 30 days to resolve the issue.

Arbitration. If that doesn't resolve things, you and Boyach LLC agree to resolve any remaining dispute through binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, seated in the state named in Section 19, rather than in court, except that either party may bring an individual claim in small-claims court. You and Boyach LLC each waive the right to a jury trial and to participate in a class action.

Opt out. You may opt out of this arbitration agreement by emailing support@taskspend.com within 30 days of first accepting these Terms.

Nothing in this section limits rights that consumer law in your country gives you and that cannot be waived, including for users in the European Union and United Kingdom.

19. Governing law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. The state and federal courts located in Broward County, Florida will have exclusive jurisdiction over disputes arising from these Terms not resolved under Section 18, and you consent to their jurisdiction.
